Terms and Conditions

These Terms and Conditions govern access to and use of the Rotor Parts Network, LLC website, inventory listings, quote forms, downloadable inventory materials, communications, quotes, estimates, sales, exchanges, rentals, leases, repairs, maintenance-related coordination, and other related commercial transactions.
By using this website, requesting a quote, submitting information, issuing a purchase order, purchasing goods or services, or otherwise engaging with Rotor Parts Network, LLC, you agree to these Terms and Conditions.
For purposes of these Terms, Rotor Parts Network, LLC may be referred to as “RPN,” “we,” “us,” or “our.” The customer, buyer, user, operator, requester, lessee, renter, or purchaser may be referred to as “customer,” “you,” or “your.” Aircraft parts, components, engines, modules, gearboxes, accessories, documentation, services, exchanges, rentals, leases, repair coordination, and related items may be referred to collectively as “Goods.”
1. Applicability
These Terms and Conditions apply exclusively to all dealings with RPN unless RPN expressly agrees otherwise in writing.
These Terms supersede and control over any inconsistent or additional terms contained in any communication, purchase order, quote request, procurement document, customer form, or other document issued by the customer, including any terms appearing on the reverse side of purchase orders or similar documents.
RPN’s acceptance of a purchase order, shipment of Goods, issuance of an invoice, or performance of services does not constitute acceptance of any customer terms unless expressly agreed in writing by RPN.
2. About Rotor Parts Network
RPN provides aftermarket helicopter parts, component support, exchanges, leases, rentals, quote review, repair coordination, and maintenance-related commercial support, with a focus on Airbus and Safran helicopter components.
RPN is not an aircraft operator, regulatory authority, design approval holder, type certificate holder, or maintenance release authority unless expressly stated in a separate written agreement.
3. Website Use
You may use the website only for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the website in violation of applicable law or regulation.
- Attempt to gain unauthorised access to the website, servers, systems, accounts, or data.
- Interfere with the operation or security of the website.
- Submit false, misleading, incomplete, fraudulent, or unauthorised information.
- Copy, scrape, reproduce, commercially exploit, or redistribute website content, inventory listings, pricing, photos, documents, or downloadable files without written permission from RPN.
RPN may restrict, suspend, or terminate website access at any time if misuse is suspected.
4. Product Information, Pricing, and Inventory
Product descriptions, inventory listings, availability, pricing, photographs, documentation status, condition, traceability, life limits, lead times, and related information are provided for general commercial information only.
RPN makes reasonable efforts to keep website information accurate, but inventory, pricing, availability, documentation, condition, and lead times may change without notice.
A part listed on the website or in a downloadable inventory file is not guaranteed to be available until confirmed in writing by RPN.
Unless otherwise stated in writing, Goods offered are available at the time a quote or estimate is sent. However, due to market volatility, supply and demand, and customer delays or indecision, RPN does not guarantee availability until a valid purchase order is received and accepted by RPN.
5. Prices
Prices are quoted in U.S. dollars unless otherwise stated.
Quoted prices exclude all applicable taxes, duties, import charges, customs fees, brokerage charges, bank fees, insurance, freight, shipping, packing, handling, storage, third-party inspection costs, maintenance, repair, conditioning, modifications, freight forwarding, and transportation by land, sea, or air, unless expressly included in writing.
Charges not expressly included in the quoted price may be invoiced separately.
6. Quotes, Estimates, and Acceptance
Submitting a quote request does not create a binding order.
Unless otherwise stated in writing, quotes and estimates issued by RPN are valid for twenty-four (24) hours from the time of issuance.
A transaction becomes binding only when RPN accepts the order in writing, issues an invoice, accepts a purchase order, issues a sales order, issues a purchase confirmation, or otherwise confirms acceptance in writing.
RPN reserves the right to reject, cancel, modify, or limit any quote, estimate, order, or transaction for any reason, including inventory changes, documentation issues, pricing errors, credit concerns, export control concerns, sanctions concerns, payment concerns, supplier changes, inspection results, or regulatory issues.
7. Exchange Transactions
For customers accepting standard exchanges, acceptance of a quote or estimate issued by RPN constitutes express agreement to transfer ownership of a repairable core in exchange for a repaired, overhauled, serviceable, or time-continued part, as applicable to the transaction.
Unless otherwise stated in writing, “Core” means a component with the same part number and a condition reflecting normal removal reasons, including time-due or cycle-due removal.
Exchange pricing includes life-limited parts listed on log cards and disclosed damage unless otherwise stated in writing.
If, upon inspection, the returned core differs in part number, has corrosion, has undisclosed damage, is missing required records, has incomplete documentation, has missing life-limited parts, has altered configuration, or requires repairs beyond standard overhaul, RPN may invoice the customer for additional costs required to restore the core to the standard of the exchanged unit, excluding overhaul cost unless otherwise agreed.
Cores must be returned within ten (10) days of the customer receiving the replacement part unless otherwise agreed in writing.
RPN may request proof of shipment.
If a core is not shipped within thirty (30) days, RPN may apply a monthly late fee equal to three percent (3%) of the invoice value.
8. Unsalvageable Parts
Unsalvageable parts are parts that cannot be economically repaired or restored using acceptable repair methods.
RPN may retain unsalvageable parts for ninety (90) days after acceptance of the applicable quote, estimate, or inspection result before proceeding with destruction, disposal, or other handling, unless otherwise agreed in writing.
9. Leases and Rentals
RPN may offer leases, rentals, engines, gearboxes, tools, accessories, and other equipment subject to written terms agreed by RPN.
Lease and rental transactions may be subject to separate written agreements, security deposits, insurance requirements, return conditions, inspection requirements, life-limited part review, damage charges, late fees, missing documentation fees, replacement costs, and other transaction-specific terms.
Customers are responsible for returning leased or rented Goods, accessories, tools, records, and documentation in the agreed condition and within the agreed timeframe.
RPN may invoice additional charges for late returns, damaged components, missing parts, missing records, incomplete documentation, altered components, non-serviceable returns, or components that fail inspection.
10. Invoicing, Payment, and Deposits
RPN will invoice the customer at the billing address or billing contact provided by the customer.
Unless otherwise agreed in writing, payment is due within thirty (30) days of invoice.
RPN may require prepayment, deposit, wire transfer, credit approval, or other payment arrangements based on credit assessment, transaction size, documentation status, customer history, or compliance review.
Deposits are non-refundable unless otherwise agreed in writing.
Refunds may be issued where RPN supplied an incorrect part number or incorrect condition.
The customer is responsible for all applicable taxes, duties, customs charges, bank fees, shipping fees, insurance costs, import costs, export costs, and other transaction-related expenses unless otherwise agreed in writing.
11. Delayed Payment
If payment is not made by the due date, the customer shall incur a late fee of fifteen percent (15%) per annum on the total invoice value, including applicable tax, accruing from the due date until paid in full.
An additional liquidated damages fee of ten percent (10%) of the outstanding balance shall also apply. The parties agree that this amount is a fair estimate of administrative costs and damages associated with delayed payment.
Late payment may also result in order delays, suspended service, cancelled orders, collection activity, legal action, credit hold, or refusal of future transactions.
12. Retention of Title
Title to Goods does not transfer to the customer until RPN receives full payment in accordance with these Terms.
Retention of title does not delay the transfer of risk of loss or damage.
13. Delivery, Shipping, and Risk of Loss
All delivery dates and lead times are approximate. RPN will make reasonable efforts to meet stated timelines but shall not be liable for delays.
Unless otherwise agreed in writing, all deliveries are F.O.B. RPN’s dock.
Delivery is deemed complete upon delivery of the Goods to the customer, common carrier, freight forwarder, courier, customer-designated representative, or other agreed delivery point.
RPN does not assume liability as a carrier and is not responsible for loss, damage, delay, customs delay, import hold, regulatory delay, carrier error, freight forwarder issue, or expense occurring during shipment.
Unless requested in writing before shipment and expressly agreed by RPN, RPN does not procure insurance for shipped Goods.
Customers are fully responsible for insuring Goods in transit and agree to pursue any loss or damage claims directly with the applicable insurer, carrier, freight forwarder, or responsible third party.
14. Transfer of Risk and Insurance
Risk of loss or damage transfers to the customer upon delivery as described in Section 13, even if title has not yet transferred.
The customer must maintain insurance coverage adequate to cover liability and the value of the Goods until title passes to the customer.
Where applicable, insurance must name RPN as loss payee and waive subrogation rights against RPN.
Failure to maintain required insurance may void warranty and recourse rights against RPN to the fullest extent permitted by law.
15. Inspection and Acceptance
Customers have three (3) days from receipt of Goods to inspect and notify RPN in writing of any discrepancy, including incorrect part number, incorrect condition, shortage, shipping damage, missing documentation, or other issue.
Failure to notify RPN in writing within three (3) days constitutes acceptance.
Acceptance or rejection does not alter applicable warranty terms.
16. Returns, Cancellations, and Restocking Fee
Returns, cancellations, and refunds are permitted only with prior written approval from RPN.
If Goods are delivered and subsequently deemed unnecessary by the customer, a restocking fee of twenty-five percent (25%) of the total price will apply.
The restocking fee does not apply to Goods delivered incorrectly by part number or condition.
Returned Goods may be subject to inspection, documentation review, condition verification, and rejection if altered, installed, damaged, incomplete, missing documentation, missing accessories, or not returned in the condition supplied.
Special order items, custom-procured parts, exchange items, rental items, lease items, life-limited components, electrical components, opened packaging, installed parts, or Goods sold “as is” may be non-returnable unless otherwise required by law or agreed in writing.
17. Certification and Documentation
Parts may be available with FAA 8130, EASA Form 1, dual release, manufacturer documentation, repair station documentation, serviceable tags, teardown reports, log cards, certificates of conformity, trace documents, or other documentation, depending on the specific part and transaction.
Documentation availability must be confirmed before purchase, exchange, lease, or rental.
The customer is responsible for reviewing all documentation, certifications, tags, traceability, service history, life limits, airworthiness status, installation eligibility, and regulatory requirements before installation, resale, export, import, operation, or use.
RPN is not responsible for delays, costs, rejections, downtime, or losses caused by the customer’s failure to request, review, or verify required documentation before completing a transaction.
18. Suitability, Airworthiness, and Aviation Compliance
The customer is solely responsible for ensuring that all Goods, records, documentation, and services comply with applicable aviation regulations, including FAA, EASA, manufacturer, operator, maintenance, import, export, airworthiness, insurance, and jurisdiction-specific requirements.
The customer must not install, operate, export, import, lease, resell, or use any part unless it has been properly inspected, approved, documented, and determined suitable by qualified personnel.
RPN does not guarantee that any Good is appropriate for a specific aircraft, engine, component, installation, maintenance event, repair, overhaul, jurisdiction, operator, regulatory requirement, or use case unless expressly stated in writing.
RPN does not guarantee regulatory acceptance by any authority, operator, maintenance provider, repair station, insurer, aircraft owner, or other third party unless expressly stated in writing.
19. Maintenance and Repair-Related Services
RPN may assist with repair coordination, maintenance-related services, quote review, logistics, commercial support, and component support.
Any maintenance, inspection, repair, overhaul, alteration, installation, or return-to-service activity must be performed by properly qualified and authorised personnel or facilities.
RPN does not approve aircraft for flight, approve installations, sign maintenance releases, perform return-to-service approvals, or assume responsibility for airworthiness unless expressly stated in a written agreement and legally permitted.
The aircraft owner, operator, mechanic, maintenance provider, repair station, or other responsible party remains responsible for compliance with applicable aviation laws, regulations, manufacturer instructions, airworthiness directives, service bulletins, component maintenance manuals, maintenance manuals, operational requirements, and safety requirements.
20. Warranty
Unless otherwise stated in writing by RPN, the following warranty periods apply:

Warranty coverage is limited to the warranty expressly stated in writing by RPN or passed through from the manufacturer, repair station, overhaul facility, or supplier.
Warranty terms may vary by part, condition, source, documentation, repair facility, transaction type, or written agreement.
21. Limitation of Liability and Disclaimer of Warranties
RPN’s liability is limited to repair or replacement, at RPN’s discretion.
All warranties are exclusive and replace any other express or implied warranties.
Except as expressly stated in writing, RPN disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, airworthiness, suitability, compatibility, regulatory acceptance, and course-of-dealing warranties.
RPN shall not be liable for special, incidental, indirect, punitive, exemplary, or consequential damages, including lost profits, lost revenue, loss of use, aircraft downtime, substitute parts, business interruption, maintenance delay, regulatory rejection, or operational losses.
Liability for direct damages shall not exceed five percent (5%) of the amount invoiced under the relevant order, subject to a five percent (5%) cap on the total contract value.
These limitations apply whether the claim is based on contract, warranty, negligence, strict liability, tort, statute, or any other legal theory.
22. Export Control, Sanctions, and Trade Compliance
Customers agree to comply with all applicable export control, sanctions, customs, import, anti-corruption, anti-bribery, and trade compliance laws.
Goods, technical data, records, documents, services, or related information may be subject to restrictions under United States law, foreign law, aviation regulations, sanctions programmes, export control rules, customs laws, or import laws.
RPN may refuse, cancel, delay, or suspend any transaction if compliance concerns arise, including concerns related to prohibited parties, restricted countries, embargoed destinations, end use, end users, documentation, export authorization, payment source, or transaction structure.
Customers agree not to export, re-export, transfer, divert, resell, lease, use, or provide any Good, document, technical information, or service in violation of applicable law.
23. Indemnification
The customer agrees to indemnify and hold harmless RPN and its affiliates, owners, officers, directors, employees, contractors, suppliers, and partners from third-party claims, losses, damages, liabilities, costs, and expenses arising from:
- The customer’s purchase, installation, operation, resale, lease, rental, exchange, export, import, transfer, or use of any Good.
- The customer’s violation of these Terms.
- The customer’s violation of applicable law or regulation.
- The customer’s failure to verify documentation, condition, suitability, compliance, installation eligibility, or airworthiness.
- Information supplied by the customer.
- Injury, death, or property damage arising from the customer’s acts, omissions, negligence, operation, installation, maintenance, resale, or use of Goods.
This indemnity does not apply to the extent a claim is caused by RPN’s gross negligence or wilful misconduct.
24. Intellectual Property
All website content, including text, graphics, images, logos, design elements, inventory materials, downloadable files, pricing sheets, and other content, is owned by or licensed to RPN unless otherwise stated.
You may not copy, reproduce, distribute, modify, sell, display, scrape, or exploit website content without prior written permission.
All third-party trademarks, including Airbus, Safran, and related aircraft, engine, or component names, are the property of their respective owners. Use of such names is for identification, reference, and compatibility purposes only and does not imply endorsement, sponsorship, affiliation, authorization, or approval unless expressly stated.
25. Third-Party Links and Resources
The website may contain links to third-party websites, documents, tools, or resources.
RPN does not control and is not responsible for third-party content, accuracy, availability, security, policies, or practices.
Use of third-party websites or resources is at your own risk.
26. User Submissions
If you submit information through the website, by email, by phone, through quote forms, or through other communications, you represent that the information is accurate, complete, lawful, and authorised.
You authorise RPN to use submitted information to respond to requests, prepare quotes, process transactions, verify availability, evaluate exchanges or cores, provide support, comply with legal obligations, and conduct business operations.
You must not submit confidential, proprietary, export-controlled, sensitive, restricted, or third-party information unless necessary for the transaction and you are authorised to provide it.
27. Privacy
Use of the website may involve the collection and processing of personal or business information.
RPN may use submitted information to communicate with customers, provide quotes, process transactions, improve services, conduct compliance checks, maintain records, and satisfy legal or business requirements.
A separate Privacy Policy should be used to explain personal information collection, use, sharing, retention, and user rights in more detail.
28. No Professional Advice
Website content is provided for general informational and commercial purposes only.
Website content is not legal, regulatory, engineering, maintenance, airworthiness, financial, tax, safety, or operational advice.
Customers should consult qualified aviation maintenance professionals, legal counsel, compliance advisors, regulatory authorities, tax advisors, insurance advisors, or other qualified professionals as appropriate.
29. Force Majeure / Extraordinary Relief
Except for payment obligations, neither party shall be liable for delay or non-performance caused by events beyond its reasonable control.
Such events include war, riots, civil unrest, terrorism, natural disasters, fire, flood, labour disruptions, supplier delays, transportation issues, customs delays, governmental acts, regulatory action, cyber incidents, power outages, pandemics, or other events outside reasonable control.
In cases of Force Majeure, delivery timelines will be extended proportionally.
These Terms bind the parties and their legal successors.
30. Changes to Prices, Terms, and Conditions
Any amendments to these Terms and Conditions must be made in writing and signed by both parties.
RPN may update website Terms from time to time for future website use and future transactions. However, any amendment to an existing accepted transaction must be in writing and signed or otherwise expressly accepted by both parties.
31. Entire Agreement
These Terms, together with any applicable quote, estimate, invoice, purchase order accepted by RPN, sales order, lease agreement, rental agreement, exchange agreement, or other written agreement issued or accepted by RPN, constitute the entire agreement between the parties for the applicable transaction.
No waiver is valid unless in writing.
A waiver of one breach does not constitute a waiver of any future breach.
32. Governing Law and Venue
These Terms and Conditions shall be governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles.
Any disputes shall be exclusively submitted to the state or federal courts located in Nevada, unless otherwise agreed in writing by RPN.
